{"id":9786,"date":"2025-11-25T16:31:00","date_gmt":"2025-11-25T14:31:00","guid":{"rendered":"https:\/\/www.lugera.ro\/blog\/?p=9786"},"modified":"2025-12-13T17:00:36","modified_gmt":"2025-12-13T15:00:36","slug":"transferul-de-intreprindere-cum-se-pastreaza-drepturile-colective-ale-salariatilor-dupa-schimbarea-angajatorului","status":"publish","type":"post","link":"https:\/\/www.lugera.ro\/blog\/transferul-de-intreprindere-cum-se-pastreaza-drepturile-colective-ale-salariatilor-dupa-schimbarea-angajatorului\/","title":{"rendered":"Transferul de \u00eentreprindere: cum se p\u0103streaz\u0103 drepturile colective ale salaria\u021bilor dup\u0103 schimbarea angajatorului"},"content":{"rendered":"<p>Atunci c\u00e2nd activitatea unei companii este preluat\u0103 de un alt angajator \u2013 prin v\u00e2nzare, externalizare sau reorganizare \u2013 angaja\u021bii se \u00eentreab\u0103 firesc ce se \u00eent\u00e2mpl\u0103 cu drepturile lor. <a href=\"https:\/\/legislatie.just.ro\/Public\/DetaliiDocument\/70218\" target=\"_blank\" rel=\"noopener\">Legea 67\/2006<\/a>, care transpune <a href=\"https:\/\/eur-lex.europa.eu\/legal-content\/RO\/TXT\/?uri=CELEX:32001L0023\" target=\"_blank\" rel=\"noopener\">Directiva european\u0103 2001\/23\/CE<\/a>, stabile\u0219te un principiu clar: <strong>transferul nu afecteaz\u0103 drepturile deja c\u00e2\u0219tigate<\/strong>, nici la nivel individual, nici la nivel colectiv.<\/p>\n<p>Dincolo de contractele de munc\u0103, care se transfer\u0103 automat, dou\u0103 elemente sunt esen\u021biale pentru via\u021ba colectiv\u0103 a salaria\u021bilor:<\/p>\n<ul>\n<li>contractul colectiv de munc\u0103 (CCM),<\/li>\n<li>structurile lor de reprezentare (sindicat sau reprezentan\u021bi ale\u0219i).<\/li>\n<\/ul>\n<ol>\n<li>\n<h2><strong> Contractul colectiv de munc\u0103 se aplic\u0103 \u00een continuare<\/strong><\/h2>\n<\/li>\n<\/ol>\n<p>Legea prevede c\u0103 noul angajator este obligat s\u0103 respecte <strong>\u00een integralitate<\/strong> contractul colectiv aplicabil la data transferului, p\u00e2n\u0103 la expirare sau reziliere.<\/p>\n<p>Cu alte cuvinte:<\/p>\n<ul>\n<li>drepturile negociate colectiv nu se suspend\u0103,<\/li>\n<li>cesionarul nu poate modifica unilateral clauzele,<\/li>\n<li>salaria\u021bii p\u0103streaz\u0103 beneficiile existente (sporuri, prime, zile suplimentare de concediu etc.).<\/li>\n<\/ul>\n<p>Este un principiu de continuitate menit s\u0103 previn\u0103 situa\u021biile \u00een care transferul ar fi folosit pentru diminuarea drepturilor.<\/p>\n<p>&nbsp;<\/p>\n<ol start=\"2\">\n<li>\n<h2><strong> Renegocierea clauzelor este permis\u0103, dar nu imediat<\/strong><\/h2>\n<\/li>\n<\/ol>\n<p>Pentru a evita modific\u0103rile bru\u0219te, legea introduce o perioad\u0103 minim\u0103 de stabilitate:<\/p>\n<ul>\n<li><strong>timp de 12 luni de la data transferului<\/strong>, cesionarul nu poate solicita renegocierea CCM-ului.<\/li>\n<li>Dup\u0103 acest termen, clauzele pot fi discutate \u00eempreun\u0103 cu reprezentan\u021bii salaria\u021bilor.<\/li>\n<\/ul>\n<p>Aceast\u0103 solu\u021bie ofer\u0103 noului angajator timp pentru acomodare, iar salaria\u021bilor \u2013 o perioad\u0103 de protec\u021bie.<\/p>\n<p>&nbsp;<\/p>\n<ol start=\"3\">\n<li>\n<h2><strong> Ce se \u00eent\u00e2mpl\u0103 dac\u0103 unitatea transferat\u0103 este absorbit\u0103?<\/strong><\/h2>\n<\/li>\n<\/ol>\n<p>Situa\u021bia devine mai complex\u0103 atunci c\u00e2nd unitatea preluat\u0103 nu mai func\u021bioneaz\u0103 ca structur\u0103 distinct\u0103. Dac\u0103 se integreaz\u0103 complet \u00een organiza\u021bia cesionarului, legea aplic\u0103 <strong>principiul celui mai favorabil contract colectiv<\/strong>.<\/p>\n<p>Asta \u00eenseamn\u0103 c\u0103:<\/p>\n<ul>\n<li>dac\u0103 cesionarul are un CCM mai avantajos dec\u00e2t cel preluat, se aplic\u0103 angaja\u021bilor transfera\u021bi,<\/li>\n<li>dac\u0103 CCM-ul cedentului este mai favorabil, salaria\u021bii p\u0103streaz\u0103 drepturile respective.<\/li>\n<\/ul>\n<p>Scopul este de a evita apari\u021bia unor \u201edou\u0103 regimuri de drepturi\u201d \u00eentr-o singur\u0103 companie.<\/p>\n<p><a href=\"https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/12\/shutterstock_1793459392.jpg\"><img decoding=\"async\" class=\"alignnone size-full wp-image-9789 lazyload\" data-src=\"https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/12\/shutterstock_1793459392.jpg\" alt=\"transfer \u00eentreprindere statut angaja\u021bi\" width=\"1000\" height=\"406\" data-srcset=\"https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/12\/shutterstock_1793459392.jpg 1000w, https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/12\/shutterstock_1793459392-300x122.jpg 300w, https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/12\/shutterstock_1793459392-768x312.jpg 768w\" data-sizes=\"(max-width: 1000px) 100vw, 1000px\" src=\"data:image\/svg+xml;base64,PHN2ZyB3aWR0aD0iMSIgaGVpZ2h0PSIxIiB4bWxucz0iaHR0cDovL3d3dy53My5vcmcvMjAwMC9zdmciPjwvc3ZnPg==\" style=\"--smush-placeholder-width: 1000px; --smush-placeholder-aspect-ratio: 1000\/406;\" \/><\/a><\/p>\n<ol start=\"4\">\n<li>\n<h2><strong> Statutul reprezentan\u021bilor salaria\u021bilor<\/strong><\/h2>\n<\/li>\n<\/ol>\n<h3><strong>C\u00e2nd unitatea r\u0103m\u00e2ne autonom\u0103<\/strong><\/h3>\n<p>Reprezentan\u021bii salaria\u021bilor \u00ee\u0219i p\u0103streaz\u0103 integral:<\/p>\n<ul>\n<li>mandatul,<\/li>\n<li>atribu\u021biile,<\/li>\n<li>protec\u021bia legal\u0103 \u00eempotriva concedierii.<\/li>\n<\/ul>\n<p>Transferul nu afecteaz\u0103 structurile de dialog social existente.<\/p>\n<h3><strong>C\u00e2nd unitatea \u00ee\u0219i pierde autonomia<\/strong><\/h3>\n<p>Dac\u0103 unitatea este absorbit\u0103 \u00een structura cesionarului, salaria\u021bii transfera\u021bi trebuie totu\u0219i s\u0103 fie reprezenta\u021bi. Legea ofer\u0103 dou\u0103 mecanisme:<\/p>\n<ol>\n<li><strong>Reprezentare temporar\u0103<\/strong> \u2013 cu acordul expres al salaria\u021bilor, reprezentan\u021bii cesionarului \u00eei pot reprezenta p\u00e2n\u0103 la noi alegeri.<\/li>\n<li><strong>Alegeri noi<\/strong> \u2013 se organizeaz\u0103 noi structuri de reprezentare potrivit Legii dialogului social.<\/li>\n<\/ol>\n<h3><strong>Protec\u021bia reprezentan\u021bilor continu\u0103<\/strong><\/h3>\n<p>Chiar dac\u0103, prin efectul reorganiz\u0103rii, un reprezentant \u00ee\u0219i pierde formal calitatea, legea \u00eei men\u021bine <strong>protec\u021bia specific\u0103 func\u021biei<\/strong>, pentru a evita presiuni sau abuzuri din partea noului angajator.<\/p>\n<p>&nbsp;<\/p>\n<h2><strong>Un cadru legal construit pentru stabilitate<\/strong><\/h2>\n<p>Legisla\u021bia aplicabil\u0103 (<a href=\"https:\/\/legislatie.just.ro\/Public\/DetaliiDocument\/70218\" target=\"_blank\" rel=\"noopener\">Legea 67\/2006<\/a> \u0219i Directiva 2001\/23\/CE) este conceput\u0103 astfel \u00eenc\u00e2t:<\/p>\n<ul>\n<li>s\u0103 nu permit\u0103 diminuarea drepturilor colective,<\/li>\n<li>s\u0103 asigure continuitatea dialogului social,<\/li>\n<li>s\u0103 protejeze colectivul de salaria\u021bi la fel de mult ca individul.<\/li>\n<\/ul>\n<p>\u00cen practic\u0103, transferul unei activit\u0103\u021bi nu mut\u0103 doar oameni \u0219i active, ci \u0219i <strong>regulile care guverneaz\u0103 rela\u021biile de munc\u0103<\/strong> \u0219i structurile care reprezint\u0103 interesele lor.<\/p>\n<p>&nbsp;<\/p>\n<h2><strong>Concluzie<\/strong><\/h2>\n<p>Transferul de \u00eentreprindere nu este doar o schimbare de angajator, ci o opera\u021biune \u00een care legisla\u021bia protejeaz\u0103 at\u00e2t drepturile individuale, c\u00e2t \u0219i pe cele colective.
