Fie c\u0103 este vorba despre software, con\u021binut scris, fotografii sau inven\u021bii, toate aceste crea\u021bii pot genera valoare economic\u0103 \u2013 dar \u0219i dispute juridice, dac\u0103 nu sunt reglementate corect \u00een cadrul contractelor de munc\u0103. <\/span><span style=\"font-weight: 400;\">O gre\u0219eal\u0103 frecvent\u0103 este presupunerea c\u0103 tot ce creeaz\u0103 un salariat apar\u021bine automat angajatorului. Din punct de vedere legal, situa\u021bia este mult mai complex\u0103 \u0219i necesit\u0103 o abordare documentat\u0103 \u0219i strategic\u0103.<\/span><\/p>\n<h2><b>Ce reglementeaz\u0103 legea \u00een materia propriet\u0103\u021bii intelectuale?<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Pentru \u00een\u021belegerea corect\u0103 a modului \u00een care func\u021bioneaz\u0103 <\/span><b>drepturile de proprietate intelectual\u0103 \u00een raporturile de munc\u0103<\/b><span style=\"font-weight: 400;\">, trebuie avute \u00een vedere mai multe acte normative, printre care:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Legea nr. 8\/1996 privind dreptul de autor \u0219i drepturile conexe<\/b><span style=\"font-weight: 400;\">;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Legea nr. 83\/2014 privind inven\u021biile de serviciu<\/b><span style=\"font-weight: 400;\">;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Legea nr. 64\/1991 privind brevetele de inven\u021bie<\/b><span style=\"font-weight: 400;\">;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Legea nr. 129\/1992 privind protec\u021bia desenelor \u0219i modelelor<\/b><span style=\"font-weight: 400;\">;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Legea nr. 84\/1998 privind m\u0103rcile \u0219i indica\u021biile geografice<\/b><span style=\"font-weight: 400;\">;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Legea nr. 11\/1991 privind combaterea concuren\u021bei neloiale<\/b><span style=\"font-weight: 400;\"> (pentru secrete comerciale \u0219i know-how);<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Codul Muncii (Legea nr. 53\/2003)<\/b><span style=\"font-weight: 400;\"> \u2013 privind raporturile de munc\u0103 \u0219i drepturile salaria\u021bilor.<\/span><\/li>\n<\/ul>\n<h2><b>Drepturi de autor \u2013 cum sunt reglementate \u00een context profesional<\/b><\/h2>\n<p><a href=\"https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/07\/drepturi-de-autor-cum-sunt-reglementate-in-context-profesional.jpg\"><img decoding=\"async\" class=\"aligncenter wp-image-9198 lazyload\" data-src=\"https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/07\/drepturi-de-autor-cum-sunt-reglementate-in-context-profesional.jpg\" alt=\"Drepturi de autor \u2013 cum sunt reglementate \u00een context profesional\" width=\"750\" height=\"500\" data-srcset=\"https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/07\/drepturi-de-autor-cum-sunt-reglementate-in-context-profesional.jpg 1000w, https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/07\/drepturi-de-autor-cum-sunt-reglementate-in-context-profesional-300x200.jpg 300w, https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2025\/07\/drepturi-de-autor-cum-sunt-reglementate-in-context-profesional-768x512.jpg 768w\" data-sizes=\"(max-width: 750px) 100vw, 750px\" src=\"data:image\/svg+xml;base64,PHN2ZyB3aWR0aD0iMSIgaGVpZ2h0PSIxIiB4bWxucz0iaHR0cDovL3d3dy53My5vcmcvMjAwMC9zdmciPjwvc3ZnPg==\" style=\"--smush-placeholder-width: 750px; --smush-placeholder-aspect-ratio: 750\/500;\" \/><\/a><\/p>\n<ol>\n<li><b> Opere literare, artistice \u0219i tehnice<\/b><\/li>\n<\/ol>\n<p><span style=\"font-weight: 400;\">Conform <\/span><b>Legii nr. 8\/1996<\/b><span style=\"font-weight: 400;\">, autorul unei opere este titularul ini\u021bial al drepturilor patrimoniale \u0219i morale. Dac\u0103 opera este realizat\u0103 \u00een baza unui contract de munc\u0103, <\/span><b>drepturile patrimoniale nu se transfer\u0103 automat<\/b><span style=\"font-weight: 400;\"> c\u0103tre angajator dec\u00e2t dac\u0103 exist\u0103 o clauz\u0103 scris\u0103 \u00een acest sens.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">&#x1f539;<\/span> <i><span style=\"font-weight: 400;\">Excep\u021bie<\/span><\/i><span style=\"font-weight: 400;\">: \u00een cazul programelor pentru calculator, legea prevede expres c\u0103 <\/span><b>drepturile patrimoniale revin angajatorului<\/b><span style=\"font-weight: 400;\">, dac\u0103 sunt realizate \u00een exerci\u021biul atribu\u021biilor de serviciu (art. 74 din Legea 8\/1996).<\/span><\/p>\n<ol start=\"2\">\n<li><b> Opere fotografice \u0219i vizuale<\/b><\/li>\n<\/ol>\n<p><span style=\"font-weight: 400;\">\u00cen lipsa unui contract de cesiune, drepturile patrimoniale asupra operelor fotografice se prezum\u0103 c\u0103 revin angajatorului, <\/span><b>dar doar pentru o perioad\u0103 de trei ani<\/b><span style=\"font-weight: 400;\"> de la data realiz\u0103rii (art. 39^1 din Legea 8\/1996).<\/span><\/p>\n<p><span style=\"font-weight: 400;\">&#x1f539;<\/span><span style=\"font-weight: 400;\"> Dup\u0103 aceast\u0103 perioad\u0103, dac\u0103 nu s-a convenit altfel, drepturile pot reveni autorului.<\/span><\/p>\n<h2><b>Programe de calculator \u2013 tratament juridic special<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">A\u0219a cum prevede <\/span><b>Legea dreptului de autor<\/b><span style=\"font-weight: 400;\">, \u00een cazul \u00een care un program informatic este realizat de un salariat \u00een cadrul atribu\u021biilor sale de serviciu, <\/span><b>angajatorul de\u021bine automat drepturile patrimoniale<\/b><span style=\"font-weight: 400;\">, \u00een lipsa unei clauze contrare (art. 74 alin. 2 din Legea nr. 8\/1996).<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Este important ca fi\u0219a postului \u0219i contractul individual de munc\u0103 s\u0103 specifice clar aceste atribu\u021bii pentru ca angajatorul s\u0103 poat\u0103 invoca dreptul de proprietate asupra software-ului.<\/span><\/p>\n<h2><b>Inven\u021biile de serviciu \u2013 reglement\u0103ri speciale<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Regimul juridic al <\/span><b>inven\u021biilor create \u00een cadrul unui raport de munc\u0103<\/b><span style=\"font-weight: 400;\"> este reglementat de <\/span><b>Legea nr. 83\/2014<\/b><span style=\"font-weight: 400;\">, care clasific\u0103 aceste inven\u021bii astfel:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Inven\u021bii realizate \u00een baza unei misiuni inventiv exprimate \u00een contract<\/b><span style=\"font-weight: 400;\"> sau fi\u0219a postului \u2013 drepturile apar\u021bin angajatorului;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Inven\u021bii realizate cu sprijinul resurselor companiei<\/b><span style=\"font-weight: 400;\"> (logistic, financiar, know-how, echipamente etc.) \u2013 angajatorul are un <\/span><b>drept de op\u021biune<\/b><span style=\"font-weight: 400;\"> pentru cesiunea brevetului.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">&#x1f539;<\/span><span style=\"font-weight: 400;\"> Angajatorul trebuie s\u0103 notifice salariatul \u00een termen de 4 luni dac\u0103 dore\u0219te s\u0103 exercite acest drept.<\/span><\/p>\n<h2><b>Desene \u0219i modele industriale<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Conform <\/span><b>Legii nr. 129\/1992<\/b><span style=\"font-weight: 400;\">, dac\u0103 un desen sau model este creat de salariat \u00een cadrul atribu\u021biilor de serviciu, <\/span><b>drepturile apar\u021bin angajatorului<\/b><span style=\"font-weight: 400;\">, cu condi\u021bia ca aceste atribu\u021bii s\u0103 fie precizate clar \u00een contractul individual de munc\u0103 sau \u00een fi\u0219a postului.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">&#x1f539;<\/span><span style=\"font-weight: 400;\"> Dac\u0103 aceste elemente lipsesc, salariatul poate revendica dreptul de autor asupra crea\u021biei sale.<\/span><\/p>\n<h2><b>M\u0103rcile \u2013 ce se \u00eent\u00e2mpl\u0103 cu elementele create de angajat?<\/b><\/h2>\n<p><b>Legea nr. 84\/1998<\/b><span style=\"font-weight: 400;\"> nu prevede \u00een mod specific regimul crea\u021biilor integrate \u00eentr-o marc\u0103 (ex: logo, nume, slogan). \u00cens\u0103, dac\u0103 aceste elemente sunt opere de autor, atunci se aplic\u0103 regulile din Legea 8\/1996: <\/span><b>drepturile r\u0103m\u00e2n ale autorului, dac\u0103 nu exist\u0103 un contract de cesiune<\/b><span style=\"font-weight: 400;\"> \u00een favoarea angajatorului.<\/span><\/p>\n<h2><b>Secrete comerciale \u0219i know-how<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">\u00cen lipsa unei legisla\u021bii speciale dedicate, protec\u021bia <\/span><b>know-how-ului \u0219i a informa\u021biilor confiden\u021biale<\/b><span style=\"font-weight: 400;\"> se bazeaz\u0103 pe:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Legea 11\/1991 privind concuren\u021ba neloial\u0103<\/b><span style=\"font-weight: 400;\">;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Codul Civil<\/b><span style=\"font-weight: 400;\">, care permite stabilirea obliga\u021biilor de confiden\u021bialitate;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Clauzele contractuale din contractele de munc\u0103 sau acordurile separate (NDA \u2013 non-disclosure agreement).<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">Pentru a beneficia de protec\u021bie legal\u0103, informa\u021biile trebuie s\u0103 \u00eendeplineasc\u0103 simultan trei condi\u021bii:<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">S\u0103 nu fie cunoscute publicului;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">S\u0103 aib\u0103 valoare economic\u0103 prin caracterul lor secret;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">S\u0103 fie protejate prin m\u0103suri rezonabile de securitate.<\/span><\/li>\n<\/ol>\n<h2><b>Concluzii: Ce ar trebui s\u0103 fac\u0103 angajatorii<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">&#x2714;&#xfe0f;<\/span> <b>Revizuirea contractelor de munc\u0103<\/b><span style=\"font-weight: 400;\"> \u2013 Include clauze detaliate de cesiune a drepturilor patrimoniale, adaptate fiec\u0103rui tip de crea\u021bie;<\/span><\/p>\n<p><span style=\"font-weight: 400;\">&#x2714;&#xfe0f;<\/span> <b>Actualizarea fi\u0219elor de post<\/b><span style=\"font-weight: 400;\"> \u2013 Precizeaz\u0103 explicit activit\u0103\u021bile creative \u0219i atribu\u021biile de serviciu relevante;<\/span><\/p>\n<p><span style=\"font-weight: 400;\">&#x2714;&#xfe0f;<\/span> <b>Implementarea politicilor de confiden\u021bialitate<\/b><span style=\"font-weight: 400;\"> \u2013 Oblig\u0103 salaria\u021bii s\u0103 respecte proceduri clare privind protec\u021bia know-how-ului \u0219i informa\u021biilor sensibile;<\/span><\/p>\n<p><span style=\"font-weight: 400;\">&#x2714;&#xfe0f;<\/span> <b>Negocierea cesiunilor de drepturi<\/b><span style=\"font-weight: 400;\"> \u2013 Dac\u0103 se dore\u0219te utilizarea operelor dup\u0103 \u00eencetarea contractului de munc\u0103, este necesar un acord scris de cesiune;<\/span><\/p>\n<p><span style=\"font-weight: 400;\">&#x2714;&#xfe0f;<\/span> <b>Consultarea periodic\u0103 a unui avocat specializat \u00een proprietate intelectual\u0103<\/b><span style=\"font-weight: 400;\"> \u2013 pentru a preveni litigii costisitoare.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u00cen concluzie, regimul legal al <\/span><b>drepturilor de proprietate intelectual\u0103 \u00een rela\u021biile de munc\u0103<\/b><span style=\"font-weight: 400;\"> este complex \u0219i impune o documentare serioas\u0103 din partea angajatorilor.
