Acest aspect reprezint\u0103 o m\u0103sur\u0103 de protec\u021bie pe care angajatorul o poate adopta pentru a evita concuren\u021ba neloial\u0103 \u00een domeniul s\u0103u de activitate. \u00cen schimbul acestei restric\u021bii, fostul angajat poate primi o indemniza\u021bie lunar\u0103 numit\u0103 indemniza\u021bie de neconcuren\u021b\u0103. De obicei, aceasta clauz\u0103 este inclus\u0103 \u00een contractul individual de munc\u0103 la momentul semn\u0103rii, dar poate fi ad\u0103ugat\u0103 ulterior prin intermediul unui act adi\u021bional pe durata desf\u0103\u0219ur\u0103rii contractului. Conform Codului Muncii, prevederile incluse \u00een clauza de neconcuren\u021b\u0103 nu pot contraveni dispozi\u021biilor contractului colectiv de munc\u0103 \u0219i nu sunt valabile dac\u0103 nu au fost aduse la cuno\u0219tin\u021ba angajatului la momentul semn\u0103rii.<\/p>\n<p>Este important de men\u021bionat c\u0103 legea limiteaz\u0103 cazurile \u00een care p\u0103r\u021bile pot negocia \u0219i stabili circumstan\u021bele \u00een care clauza de neconcuren\u021b\u0103 va produce efecte. Astfel, clauza de neconcuren\u021b\u0103 nu produce efecte \u00een urm\u0103toarele situa\u021bii:<\/p>\n<ul>\n<li>Decesul angajatului sau al angajatorului sau dizolvarea persoanei juridice.<\/li>\n<li>Decizie judec\u0103toreasc\u0103 definitiv\u0103 care interzice angajatului sau angajatorului s\u0103 desf\u0103\u0219oare activitatea ca o m\u0103sur\u0103 de siguran\u021b\u0103 sau m\u0103sur\u0103 complementar\u0103.<\/li>\n<li>Constatarea nulit\u0103\u021bii absolute a contractului individual de munc\u0103.<\/li>\n<li>Interdic\u021bia angajatului de a desf\u0103\u0219ura o anumit\u0103 profesie sau func\u021bie, fie ca m\u0103sur\u0103 de siguran\u021b\u0103, fie ca m\u0103sur\u0103 complementar\u0103.<\/li>\n<li>Retragerea acordului p\u0103rin\u021bilor sau a reprezentan\u021bilor legali \u00een cazul angaja\u021bilor cu v\u00e2rsta cuprins\u0103 \u00eentre 15 \u0219i 16 ani.<\/li>\n<\/ul>\n<p>Codul Muncii precizeaz\u0103, \u00een mod expres, c\u0103 aceast\u0103 \u201d(1) Clauz\u0103 de neconcuren\u0163\u0103 nu poate avea ca efect interzicerea \u00een mod absolut a exercit\u0103rii profesiei salariatului sau a specializ\u0103rii pe care o de\u0163ine. (2) La sesizarea salariatului sau a inspectoratului teritorial de munc\u0103 instan\u0163a competent\u0103 poate diminua efectele clauzei de neconcuren\u0163\u0103.\u201d<\/p>\n<p>De asemenea, Codul Muncii, <a href=\"https:\/\/lege5.ro\/Gratuit\/gi2tknjxgq\/art-24-incheierea-contractului-individual-de-munca-codul-muncii?dp=gu3dmmjygazdo\">art. 24<\/a>, prevede c\u0103 \u201d\u00cen cazul nerespect\u0103rii, cu vinov\u0103\u0163ie, a clauzei de neconcuren\u0163\u0103 salariatul poate fi obligat la restituirea indemniza\u0163iei \u015fi, dup\u0103 caz, la daune-interese corespunz\u0103toare prejudiciului pe care l-a produs angajatorului.\u201d&nbsp;<\/p>\n<h2><strong>C\u00e2nd se poate \u00eencheia clauza de neconcuren\u021b\u0103<\/strong><\/h2>\n<p><a href=\"https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2023\/10\/clauza-de-neconcurenta_cadrul-legislativ.jpg\"><img decoding=\"async\" class=\"alignnone size-full wp-image-7841 lazyload\" data-src=\"https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2023\/10\/clauza-de-neconcurenta_cadrul-legislativ.jpg\" alt=\"Clauza de neconcurenta_Cadrul legislativ\" width=\"1000\" height=\"686\" data-srcset=\"https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2023\/10\/clauza-de-neconcurenta_cadrul-legislativ.jpg 1000w, https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2023\/10\/clauza-de-neconcurenta_cadrul-legislativ-300x206.jpg 300w, https:\/\/www.lugera.ro\/blog\/wp-content\/uploads\/2023\/10\/clauza-de-neconcurenta_cadrul-legislativ-768x527.jpg 768w\" data-sizes=\"(max-width: 1000px) 100vw, 1000px\" src=\"data:image\/svg+xml;base64,PHN2ZyB3aWR0aD0iMSIgaGVpZ2h0PSIxIiB4bWxucz0iaHR0cDovL3d3dy53My5vcmcvMjAwMC9zdmciPjwvc3ZnPg==\" style=\"--smush-placeholder-width: 1000px; --smush-placeholder-aspect-ratio: 1000\/686;\" \/><\/a><\/p>\n<p>Angajatorul este cel care ini\u021biaz\u0103 aplicarea clauzei de neconcuren\u021b\u0103. Cu toate acestea, pentru a avea efecte, clauza trebuie s\u0103 fie negociat\u0103 \u00eentre angajator \u0219i angajat. Clauzele de neconcuren\u021b\u0103 sunt frecvent incluse \u00een contractele de munc\u0103 ale celor care lucreaz\u0103 \u00een cercetare, proiectare, sau care, prin natura activit\u0103\u021bii lor, aduc un beneficiu angajatorului. Cu toate acestea, aceste clauze pot fi aplicate \u0219i \u00een alte domenii, cum ar fi industria financiar\u0103, IT sau comunica\u021bii. De asemenea, sunt \u00eent\u00e2lnite \u00een contractele managerilor de departamente sau ale angaja\u021bilor care ocup\u0103 pozi\u021bii cheie.<\/p>\n<p>Prin aceast\u0103 clauz\u0103 este posibil s\u0103 i se interzic\u0103 fostului angajat s\u0103 se implice \u00een afaceri concurente pe cont propriu, s\u0103 achizi\u021bioneze ac\u021biuni sau p\u0103r\u021bi sociale \u00een cadrul unor companii cu acela\u0219i domeniu de activitate ca \u0219i fostul angajator, s\u0103 contacteze al\u021bi angaja\u021bi ai firmei cu scopul de a desf\u0103\u0219ura \u00eempreun\u0103 cu ace\u0219tia o activitate concuren\u021bial\u0103 sau s\u0103 se conecteze cu furnizorii sau clien\u021bii societ\u0103\u021bii \u00een nume propriu.<\/p>\n<p>&nbsp;Legea nu restrictioneaza aplicabilitatea acestei clauze la anumite industrii sau profesii, deci angajatorii o pot utiliza \u00een rela\u021bia cu oricare dintre angaja\u021bii lor.<\/p>\n<h2><strong>Ce prevederi trebuie s\u0103 con\u021bin\u0103 clauza&nbsp;<\/strong><strong>de neconcuren\u021b\u0103<\/strong><\/h2>\n<p>Legea prevede explicit con\u021binutul clauzei de neconcuren\u021b\u0103, iar aceasta poate fi aplicat\u0103 doar dac\u0103 este redactat\u0103 \u00een conformitate cu prevederile Codului Muncii \u0219i con\u021bine anumite elemente obligatorii. \u00cen caz contrar, clauza este considerat\u0103 nul\u0103, deoarece intr\u0103 \u00een contradic\u021bie cu dreptul fundamental al omului la munc\u0103.<\/p>\n<p>De asemenea, clauza de neconcuren\u021b\u0103 este valabil\u0103 numai dac\u0103 este men\u021bionat\u0103 \u00een contractul individual de munc\u0103, adus\u0103 la cuno\u0219tin\u021ba angajatului \u0219i acceptat\u0103 de acesta. Astfel, clauza trebuie s\u0103 con\u021bin\u0103 urm\u0103toarele elemente:<\/p>\n<ul>\n<li>Activit\u0103\u021bile pe care angajatul nu are voie s\u0103 le desf\u0103\u0219oare la momentul \u00eencheierii contractului de munc\u0103.<\/li>\n<li>Durata exact\u0103 a perioadei \u00een care clauza de neconcuren\u021b\u0103 produce efecte (maximum 2 ani).<\/li>\n<li>Valoarea indemniza\u021biei lunare pe care angajatorul o va pl\u0103ti la \u00eencetarea contractului.<\/li>\n<li>Ter\u021bii pentru care angajatul nu are voie s\u0103 lucreze.<\/li>\n<li>Aria geografic\u0103 \u00een care angajatul poate reprezenta o concuren\u021b\u0103 real\u0103 pentru angajator.<\/li>\n<\/ul>\n<h2><strong>Indemniza\u021bia de neconcuren\u021b\u0103<\/strong><\/h2>\n<p>Conform <a href=\"https:\/\/www.codulmuncii.ro\/titlul_2\/capitolul_1\/art_21_1.html\">legii<\/a>, valoarea indemniza\u021biei de neconcuren\u021b\u0103 trebuie s\u0103 fie de cel pu\u021bin 50% din valoarea salariului brut pe ultimele \u0219ase luni de activitate. \u00cen cazul persoanelor care au lucrat mai pu\u021bin de \u0219ase luni, indemniza\u021bia reprezint\u0103 cel pu\u021bin jum\u0103tate din media salariilor din perioada \u00een care au lucrat.<\/p>\n<p>Dac\u0103 p\u0103r\u021bile au negociat \u0219i stabilit un cuantum mai mic al indemniza\u021biei de neconcuren\u021b\u0103, clauza nu este considerat\u0103 nul\u0103, dar angajatul poate solicita \u00een instan\u021b\u0103 obligarea fostului angajator de a pl\u0103ti diferen\u021ba de indemniza\u021bie p\u00e2n\u0103 la limita minim\u0103 de 50%.<\/p>\n<p>Este important s\u0103 preciz\u0103m c\u0103 refuzul fostului salariat de a \u00eencasa indemnizatia nu \u00eel absolv\u0103 de obliga\u021biile aferente clauzei, dar \u0219i c\u0103 aceasta este valabil\u0103 cu toate drepturile \u0219i obliga\u021biile care decurg pentru angajat \u0219i angajator, indiferent dac\u0103 a existat un&nbsp;<a href=\"https:\/\/www.calculatorvenituri.ro\/contractul-de-munca-temporara--ce-este-%C8%99i-care-sunt-prevederile-sale\">contract pe durat\u0103 determinat\u0103<\/a>&nbsp;sau nedeterminat\u0103.<\/p>\n<p>Clauza de neconcurenta se pl\u0103te\u0219te dupa \u00eencetarea contractului pentru maximum 2 ani \u0219i nu pe durata contractului. Clauza de neconcuren\u021b\u0103 este lovit\u0103 de nulitate absolut\u0103 dac\u0103 nu se face dovada pl\u0103\u021bii indemniza\u021biei de neconcuren\u021b\u0103, plat\u0103 efectuat\u0103 lunar.<\/p>\n<h2><strong>Tratamentul fiscal al clauzei de neconcuren\u021b\u0103<\/strong><\/h2>\n<p>Indemniza\u021bia de neconcuren\u021b\u0103 este o cheltuial\u0103 efectuat\u0103 de angajator, deductibil\u0103 la calculul profitului impozabil \u0219i se impoziteaz\u0103 conform legisla\u021biei \u00een vigoare \u00een cazul persoanelor fizice beneficiare. Suma oferit\u0103 lunar este supus\u0103 impozitului pe venit \u0219i contribu\u021biei de asigur\u0103ri sociale de s\u0103n\u0103tate. De asemenea, angajatul poate fi obligat s\u0103 restituie integral sau par\u021bial sumele primite sub forma indemniza\u021biei de neconcuren\u021b\u0103. Angajatorul trebuie s\u0103 dovedeasc\u0103 prejudiciul suferit din partea fostului angajat pentru a avea succes \u00een instan\u021b\u0103.<\/p>\n<p>Pe de alt\u0103 parte, dac\u0103 angajatorul nu pl\u0103te\u0219te indemniza\u021bia de neconcuren\u021b\u0103, fostul salariat poate solicita executarea obliga\u021biei de c\u0103tre angajator \u00een fa\u021ba instan\u021bei competente. Litigiul este considerat un conflict de munc\u0103, ceea ce permite fostului angajat s\u0103 beneficieze de scutire de tax\u0103 de timbru \u0219i de o solu\u021bionare rapid\u0103 a cazului.<\/p>\n<p>\u00cen cazul \u00een care angajatul consider\u0103 c\u0103 prevederile clauzei de neconcuren\u021b\u0103 sunt prea restrictive, el se poate adresa Inspectoratului Teritorial de Munc\u0103. At\u00e2t salariatul, c\u00e2t \u0219i Inspectoratul Teritorial de Munc\u0103 pot solicita instan\u021bei competente s\u0103 reduc\u0103 efectele clauzei de neconcuren\u021b\u0103.<\/p>\n<h2><strong>Alte clauze restrictive<\/strong><\/h2>\n<p>Pe l\u00e2ng\u0103 clauza de neconcuren\u021b\u0103, mai exist\u0103 \u0219i alte clauze restrictive care pot fi incluse \u00een contractul individual de munc\u0103. Cele mai des utilizate de angajatori sunt:<\/p>\n<p><a href=\"https:\/\/www.lugera.ro\/blog\/clauza-de-confidentialitate-aspecte-utile\/\"><strong>Clauza de confiden\u021bialitate<\/strong><\/a>: Aceast\u0103 clauz\u0103 protejeaz\u0103 informa\u021biile confidentiale la care angaja\u021bii au acces \u00een timpul contractului de munc\u0103 \u0219i prevede c\u0103 aceste informa\u021bii nu pot fi divulgate. Este reglementat\u0103 de articolul 26 din Codul Muncii.<\/p>\n<p><strong>Clauza de mobilitate<\/strong>: Aceast\u0103 clauz\u0103 stabile\u0219te c\u0103, av\u00e2nd \u00een vedere specificul muncii, angajatul nu \u00ee\u0219i poate desf\u0103\u0219ura activitatea \u00eentr-un loc fix de munc\u0103. \u00cen schimb, el va fi desemnat s\u0103 lucreze \u00een mai multe locuri. Cuantumul prestatiilor \u00een bani sau \u00een natur\u0103 pe care le prime\u0219te angajatul \u00een acest caz se stabile\u0219te prin contractul individual de munc\u0103.<\/p>\n<p><a href=\"https:\/\/www.lugera.ro\/blog\/formarea-profesionala-in-2023-repere-importante\/#Clauza_privind_formarea_profesionala\"><strong>Clauza de formare profesional\u0103<\/strong><\/a>: Aceast\u0103 clauz\u0103 implic\u0103 preg\u0103tirea salariatului pentru cerin\u021bele postului s\u0103u.
