Printre aceste clauze specifice, articolul 20, alineatul 2, litera c din Codul Muncii men\u021bioneaz\u0103 \u0219i clauza de confiden\u021bialitate, care este detaliat\u0103 la articolul 26 din acela\u0219i cod.<\/p>\n<p>Conform Articolului 26 din actul normativ<\/p>\n<p>\u201d(1) Prin clauza de confiden\u021bialitate, p\u0103r\u021bile convin c\u0103, pe toat\u0103 durata contractului individual de munc\u0103 \u0219i dup\u0103 \u00eencetarea acestuia, nu vor transmite date sau informa\u021bii la care au avut acces \u00een timpul execut\u0103rii contractului, \u00een conformitate cu regulamentele interne, contractele colective de munc\u0103 sau contractele individuale de munc\u0103.<\/p>\n<p>(2) Nerespectarea acestei clauze de c\u0103tre oricare dintre p\u0103r\u021bi atrage obliga\u021bia celui vinovat de a pl\u0103ti daune-interese.&#8221;<\/p>\n<p>Aceast\u0103 clauz\u0103 este facultativ\u0103 \u0219i poate fi introdus\u0103 \u00een contractul individual de munc\u0103 ini\u021bial sau ulterior, printr-un act adi\u021bional. Prin intermediul clauzei de confiden\u021bialitate, p\u0103r\u021bile convin c\u0103, pe toat\u0103 durata contractului individual de munc\u0103 \u0219i dup\u0103 \u00eencetarea acestuia, nu vor divulga informa\u021bii la care au avut acces \u00een timpul execut\u0103rii contractului, \u00een conformitate cu regulamentele interne, contractele colective de munc\u0103 sau contractele individuale de munc\u0103.<\/p>\n<h2><strong>Respectarea Clauzei de Confiden\u021bialitate<\/strong><\/h2>\n<p>Respectarea clauzei de confiden\u021bialitate nu implic\u0103, de obicei, o compensa\u021bie pentru angajat, a\u0219a cum se \u00eent\u00e2mpl\u0103 \u00een cazul clauzei de neconcuren\u021b\u0103, c\u00e2nd angajatorul trebuie s\u0103 pl\u0103teasc\u0103 o indemniza\u021bie angajatului \u00een timpul perioadei de neconcuren\u021b\u0103. Clauza de confiden\u021bialitate \u00ee\u0219i produce efectele numai dac\u0103 este inclus\u0103 \u00een documentele men\u021bionate \u00een mod expres de Codul Muncii, cum ar fi regulamentele interne, contractele colective de munc\u0103 sau contractele individuale de munc\u0103.<\/p>\n<p>\u00cenainte de a introduce o astfel de clauz\u0103, angajatorul trebuie s\u0103 efectueze o analiz\u0103 atent\u0103 \u0219i s\u0103 identifice informa\u021biile confiden\u021biale la care au acces angaja\u021bii. Aceast\u0103 obliga\u021bie nu poate fi aplicat\u0103 \u00een mod general, deoarece nu toate informa\u021biile pot fi considerate confiden\u021biale.<\/p>\n<p>Totodat\u0103 angajatorii nu ar trebui s\u0103 considere c\u0103, odat\u0103 ce au introdus aceast\u0103 obliga\u021bie \u00een rela\u021bia cu salaria\u021bii, sunt pe deplin proteja\u021bi de acel moment \u00eenainte. Este important s\u0103 se reevalueze clauza de confiden\u021bialitate pentru fiecare angajat \u00een parte ori de c\u00e2te ori acesta \u00ee\u0219i schimb\u0103 pozi\u021bia sau nivelul de acces la informa\u021biile de\u021binute de companie. Astfel, dup\u0103 \u00eencetarea contractului individual de munc\u0103, clauza de confiden\u021bialitate continu\u0103 s\u0103 fie valabil\u0103 pentru perioada convenit\u0103 de p\u0103r\u021bi \u0219i specificat\u0103 \u00een mod expres \u00een clauz\u0103.<\/p>\n<h2><strong>Nerespectarea Clauzei de Confiden\u021bialitate<\/strong><\/h2>\n<p>Nerespectarea clauzei de confiden\u021bialitate de c\u0103tre oricare dintre p\u0103r\u021bi atrage obliga\u021bia celui vinovat de a pl\u0103ti daune-interese, conform alineatului 2 al articolului 26 din Codul Muncii. \u00cenc\u0103lcarea acestei obliga\u021bii de c\u0103tre angajat poate determina, de asemenea, o posibil\u0103 ac\u021biune disciplinar\u0103, \u00een func\u021bie de gravitatea \u00eenc\u0103lc\u0103rii. R\u0103spunderea disciplinar\u0103 poate fi, \u00een acest caz, cumulat\u0103 cu r\u0103spunderea patrimonial\u0103.<\/p>\n<h2><strong>Contract de Confiden\u021bialitate \u00een Procesul de Recrutare<\/strong><\/h2>\n<p>Pe l\u00e2ng\u0103 clauza de confiden\u021bialitate, Legea nr. 53\/2003 privind Codul Muncii face referire \u0219i la un contract de confiden\u021bialitate. Articolul 17, alineatul 7 din Codul Muncii stabile\u0219te c\u0103:<\/p>\n<p>\u201dCu privire la informa\u021biile furnizate salariatului \u00eenainte de \u00eencheierea contractului individual de munc\u0103, p\u0103r\u021bile pot \u00eencheia un contract de confiden\u021bialitate.\u201d<\/p>\n<p>Acest contract se \u00eencheie anterior \u00eencheierii contractului individual de munc\u0103 \u0219i se aplic\u0103 candidatului selectat pentru a ocupa postul respectiv. Acest tip de contract poate fi utilizat \u00een timpul procesului de recrutare atunci c\u00e2nd este necesar\u0103 furnizarea unui num\u0103r minim de informa\u021bii cu caracter confiden\u021bial. Informa\u021biile precum pachetul de beneficii oferit de angajator pot face obiectul unui astfel de contract.<\/p>\n<p>\u00cen concluzie, clauzele de confiden\u021bialitate sunt esen\u021biale pentru protejarea informa\u021biilor sensibile \u00een mediul de afaceri \u0219i pot fi introduse \u00een contractele de munc\u0103 pentru a stabili obliga\u021bii clare \u00een ceea ce prive\u0219te confiden\u021bialitatea datelor.
